Affiliate Terms

1. Eligibility

1. You must be at least 18 years old to participate.
2. You must have a valid PayPal, bank account, or other approved payment method to receive commissions.
3. We reserve the right to approve or deny any affiliate application at our sole discretion.
4. You must comply with all applicable laws, FTC guidelines, and social media platform terms.

2. Commission Structure

1. Commission Rate: Affiliates earn 10% commission on each qualified sale when their unique affiliate link or discount code is used.
2. Example: If a customer purchases $100 worth of product using your link/code, you earn $10.
3. Commission is calculated on the subtotal (product price) excluding shipping, taxes, fees, and refunds.
4. Commission rate is subject to change with 14 days notice via email.

3. Cookie Duration & Attribution (30 Days)

1. 30-Day Attribution Window: When someone clicks your affiliate link to get to our website, your affiliate benefits are linked to them for 30 days.
2. If that person makes a purchase, leaves and comes back to the site within 30 days, and makes a purchase (even without clicking your link again), you will still earn commission.
3. Attribution is on a last-click basis. If a customer clicks multiple affiliate links, the last affiliate clicked before purchase receives the commission.
4. If a customer uses your discount code at checkout, you will receive commission regardless of cookie, even if the cookie has expired.
5. We use industry-standard tracking via our affiliate platform (e.g., Goaffpro, Shopify Collabs, etc.). We are not responsible for cookie deletion by user, browser blocking, or ad blockers.

4. Qualified Sales & Exclusions

A sale is qualified only if:

1. Order is placed through your tracked link or code.
2. Order is paid in full and not refunded, charged back, or cancelled.
3. Order is not placed by you, your household, or using self-referral.
4. Order is not fraudulent or violating our TOS.

The following are not eligible for commission:

• Shipping costs and sales tax.
• Orders that are refunded, cancelled, or charged back.
• Orders placed by the affiliate themselves (no self-purchasing for commission).
• Wholesale or bulk orders unless pre-approved.

5. Payment Terms

1. Payout Schedule: Commissions are paid monthly, net 15. Example: January commissions paid by February 15th.
2. Minimum Payout Threshold: $25. If your balance is under $25, it will roll over to the next month.
3. Payment Method: PayPal, bank transfer, or store credit (as selected in affiliate portal).
4. Refund Clawback: If an order you earned commission on is refunded or charged back within 60 days, that commission will be deducted from future payouts.
5. You are responsible for all taxes on affiliate income. We may require a W-9 before issuing payment over $600 per year (US affiliates).

6. FTC Disclosure Requirements — Mandatory

You MUST comply with the Federal Trade Commission (FTC) endorsement guidelines.

1. You must clearly and conspicuously disclose that you are an affiliate and will earn commission. Disclosure must be before the affiliate link/code, not hidden.
2. When a video is an ad or contains an affiliate link/code, you MUST disclose.

Acceptable disclosure examples:

• "This video is sponsored by RipLocker / contains affiliate links. I earn a commission if you purchase through my link/code."
• "Ad - I earn 10% commission from RipLocker when you use my code NINJA10."
• Verbal disclosure in video plus written disclosure in description.
• "#ad" or "#sponsored" at the beginning of description/caption (not buried).

Unacceptable:

• Only saying "#affiliate" buried at bottom.
• No disclosure at all.
• "Link in bio" with no disclosure.
• Hiding disclosure below "show more."

3. For video content (YouTube, TikTok, Instagram Reels, etc.): You must state verbally and in the description that it is an ad/affiliate promotion.
4. Failure to disclose properly is grounds for immediate termination and forfeiture of commissions.

7. Promotional Guidelines — What You Can and Cannot Do

You MAY:

• Create honest reviews, rip videos, unboxings, and collection showcases featuring RipLocker products.
• Share your link/code on your social media, YouTube, Twitch, Discord, and website.
• Use product images from our Site for promotional purposes.
• Say "Shop verified sealed product at RipLocker."

You MAY NOT:

1. Spam: No unsolicited email spam, SMS spam, Discord spam, or comment spam. No posting your link repeatedly in other people's comments.
2. Misleading Claims: No false claims such as "RipLocker guarantees you will pull a Charizard" or "RipLocker is the official Pokémon Company store."
3. Trademark Bidding: You may not bid on "RipLocker" or misspellings like "Rip Locker" in Google Ads, Bing Ads, TikTok Ads, or any paid search. You may not use our brand name in your ad copy.
4. Coupon Sites: You may not list your code on coupon sites (RetailMeNot, Honey, etc.) without written permission.
5. Adult, Hate, Illegal Content: Your content may not contain pornographic, violent, hateful, discriminatory, or illegal content alongside our brand.
6. No Fake Discounts: You may not advertise a discount greater than what we have authorized for you.
7. No Self-Clicking / Fraud: No clicking your own link, no bots, no incentivized clicks ("click my link to win").

8. Intellectual Property License

We grant you a limited, non-exclusive, revocable license to use our logos, product images, and promotional materials solely for promoting RipLocker as an affiliate. You may not modify our logos or imply you are RipLocker itself.

9. Term and Termination

1. Term begins when you are approved and continues until terminated.
2. Either party may terminate at any time with or without cause.
3. We may terminate or suspend your account immediately if you violate any term, including disclosure rules, spam, or trademark bidding.
4. Upon termination, you must remove all affiliate links/codes and RipLocker branding. Commissions earned prior to termination for qualified, non-refunded orders will still be paid on the next payout cycle. Any commissions obtained through violation will be forfeited.

10. Relationship of Parties

You are an independent contractor, not an employee, partner, or agent of RipLocker LLC. You have no authority to bind RipLocker.

11. Limitation of Liability

Our liability for any claim arising from the Program shall not exceed the total commissions paid to you in the 3 months preceding the claim.

We are not liable for indirect, incidental, or consequential damages, or for issues with tracking due to third-party platforms, cookie blocking, or technical issues.

12. Modifications

We may modify this Agreement at any time by posting a new version. Continued participation after changes constitutes acceptance.

13. Governing Law

This Agreement is governed by the laws of the State of Florida. Any disputes shall be resolved in Hillsborough County, Florida.
